In an environment widely viewed as challenging for LBO exits and secondary buyouts.
NewCo Corporate Finance demonstrated once again its ability to execute complex transactions by successfully advising on one primary transaction (Numans / Andera Partners) and three secondary LBOs in 2025: Olifan Group / Seven2; Diot-Siaci / Groupe Burrus, Ardian and management (the largest LBO of the year in France); and RHETORES FINANCE / IK Partners and ACTIVA.
NewCo Corporate Finance had already advised on the primary LBOs of each of these platforms, reflecting the long-term relationships built with management teams and shareholders.
As highlighted by Anne Drif in Les Échos (December 31, 2025), “processes are becoming increasingly complex, requiring extensive upstream preparation. The market is unforgiving,” and “transactions must be supported by extremely robust cases, given the depth of scrutiny by boards of directors and investment committees.”
In this demanding environment, sector specialization, deep understanding of business models and strategic challenges, and close proximity to management teams are key differentiating success factors.
Beyond advising on the recapitalization of consolidation platforms, NewCo Corporate Finance also supports the management teams of independent companies in strategic partnership transactions.
Our approach is based on three core pillars:
– a thorough analysis and clear positioning of the company, its business model and growth prospects;
– a precise definition of management’s objectives, both in terms of partner profile and transaction structure;
– a targeted and selective approach to strategic partners offering strong industrial and strategic rationale.
Under this approach, valuation becomes the natural outcome of a strong strategic project rather than a standalone objective.
In 2025, NewCo Corporate Finance advised on the following wealth management transactions:
CAPEXIS with Valoria Capital; Bonjour Patrimoine with Groupe Rayne; Groupe Cincinnatus Patrimoine with Groupe Orion; Allure Finance with Astoria Finance; Stratum Finance with Synalp Groupe; Patrimum Groupe Grand Est with Aliquis; Expert & Conseil Gestion Privée with Groupe Patrimmofi; Patrimum Groupe Paris with Groupe Patrimmofi; and Alias Finance with Groupe Patrimmofi.
NewCo Corporate Finance also advises on cross-border transactions, supporting international players in their strategic operations.
In this context, NewCo Corporate Finance advised the Swiss broker Valcourt on its strategic partnership with Marex.
Institutional brokerage is a core area of expertise for NewCo Corporate Finance. The firm has advised on several landmark transactions in this segment, including the partnerships of OTCex with Marex, OctoFinance with StoneX, and Equitim with Apicil.
These transactions highlight NewCo Corporate Finance’s ability to execute complex, often cross-border transactions, requiring a deep understanding of institutional business models, regulatory frameworks, and the strategic objectives of both industrial and financial partners.
